TikTok confirmed Thursday that it has finalized an ownership restructuring establishing a majority American-owned entity while maintaining platform continuity to minimize disruption for users. The agreement prioritizes seamless transition alongside security improvements.
ByteDance, the Beijing-based technology company behind TikTok, has agreed to reduce its ownership stake to 19.9% in the American entity, while US investors control 80.1%. The American ownership group includes Oracle at 15%, Silver Lake at 15%, and MGX at 15%, with Michael Dell’s investment firm also participating in the ownership structure.
The deal addresses congressional legislation passed in 2024 while emphasizing business continuity and user experience preservation. Throughout the regulatory battle and negotiation period, maintaining platform functionality and user access remained priorities alongside security improvements. The transition to American ownership aims to occur without service interruptions, feature losses, or dramatic changes to the user experience that has made the platform successful.
Leadership of the American entity will fall to Adam Presser as CEO, whose institutional knowledge helps ensure operational continuity during the ownership transition. His familiarity with platform operations positions him to manage the transition smoothly. The entity will be governed by a seven-member board of directors with an American majority and cybersecurity expertise. Shou Chew participates as a board member, maintaining continuity links.
The new US entity implements comprehensive security safeguards including data protection protocols, secured algorithms, enhanced moderation, and software integrity measures while prioritizing user experience continuity. The recommendation algorithm undergoes retraining using US user data through a gradual process designed to maintain content quality and relevance for users.
